It was disappointing that at the 2009 AGM there were insufficient members attending to comply with the Club's Constitutional requirement for a voting quorum, which is 20% of the voting eligible membership. The club currently has 279 Senior Members so we required an attendance of at least 56 members. The number that attended was 38, added to which were 8 proxy votes giving a voting capability of 46, 10 votes below the required quorum.
Despite this setback the AGM went ahead but those issues that required a vote could not be concluded, such as acceptance of the Clubs' independently audited Accounts, the re-appointment of those Committee members who are required by the Club's Constitution to stand down; the appointment of a new Chairman to replace Tim Mountain who is leaving the area and any proposed amendments to the Clubs Constitution.
Regarding the Club accounts our Treasurer, John Privett, will post them onto the Clubs' web site together with a short narrative on the salient points. (These are available here.) There were no issues raised by the attending members at the time of the AGM and your Committee endorse the accounts and recommend them to the membership. As it was not possible to vote on the membership fee it will remain at £5 per Senior and £0 for Junior members. It was the intention of the Committee to propose that the membership fees for 2010 remain the same as for 2009 and therefore we have, by default, arrived at a result that we believe will be acceptable to all members. The acceptance of the 2009 Accounts will now be held over until the 2010 AGM.
Regarding the re-election of those Committee members who were required to stand down as per the Clubs' Constitution. These committee members were
Joe Taylor - Groundsman and Fixed Wing Representative Mike Eyre - Secretary & Free Flight Representative Ashley Cameron - Helicopter Representative
All offered themselves up for re-election and as there were no notified candidates for any of the posts from the membership, it would have been expected they would have been re-elected un-opposed. However as there wasn't a voting quorum your Committee has decided to evoke Rule 11d) of the Constitution, which allows the remaining members of the Committee to co-opt additional members into the Committee to make up a new Committee quorum. This decision has been taken and therefore Mike Eyre as Secretary, Ashley Cameron as Helicopter Representative and Joe Taylor as Groundsman & Fixed Wing Representative have been co-opted onto the 2010 Committee.
The remaining post to be filled, namely that of the Chairman of EDMAC, will be elected by the 2010 Committee from its new Committee at its first meeting in January 2010. It was the intention of the out-going Chairman to propose David Lambert as the new Chairman and all current Committee members had agreed this proposal. David has been on the Committee since the Club started in 2005 and is therefore very familiar with the workings of the Club and its objectives. Your Committee consider him to be an excellent choice and one that will carry on the good work that Tim has undertaken, as well as maintain the excellent relationship that exists between the Club, the Conservators and the Council. The final decision on this appointment will be communicated to all Club members as soon as your Committee has voted on it.
Finally I am sure that you, as a member of EDMAC, would agree with the Committee in offering our sincere thanks to Tim for the hard work that he has done in the last 5 years (initial discussions with the Council started in 2004) and concur with us that he should be given honorary membership of the Club in perpetuity as a small recognition of his efforts. Thank you Tim for your dedication and unstinting efforts in getting the Club functioning and maintaining its progress.
